NFI Announces $150 Million Private Placement of Common Shares with Coliseum Capital Management

WINNIPEG, Manitoba, May 11, 2023 (GLOBE NEWSWIRE) -- (TSX: NFI, OTC: NFYEF, TSX: NFI.DB) NFI Group Inc. (“NFI” or the “Company”), a leading independent bus and coach manufacturer and a leader in electric mass mobility solutions, today announced that, as part of its previously-announced comprehensive refinancing plan, the Company has entered into an investment agreement (the “Investment Agreement”) with Coliseum Capital Management, LLC, as manager of certain funds and accounts (collectively, “Coliseum”), current holder of 12.4% of NFI’s issued and outstanding common shares (the “Shares”). Under the terms of the Investment Agreement, Coliseum has agreed to subscribe for and purchase from the Company an aggregate of 24,363,702 Shares, on a private placement basis, at a subscription price of $6.1567 (approximately C$8.251) per Share (the “Subscription Price”), for aggregate gross proceeds to NFI of $150,000,000 (approximately C$201,000,000) (the “Private Placement”).
