Mattel, Inc. Announces Pricing of Private Offering of Senior Notes

Mattel, Inc. (NASDAQ: MAT) (“Mattel” or the “Company”) announced today that it has priced the previously announced offering of $600,000,000 aggregate principal amount of 3.375% Senior Notes due 2026 (the “2026 Notes”) and $600,000,000 aggregate principal amount of 3.750% Senior Notes due 2029 (the “2029 Notes” and, together with the 2026 Notes, the “Notes”). The closing of the offering is expected to occur on March 19, 2021, subject to customary closing conditions. The Notes will be guaranteed on a senior unsecured basis by all of the Company’s existing and future wholly owned domestic restricted subsidiaries that are borrowers or guarantors under its senior secured revolving credit facilities. The Company intends to use the net proceeds from the sale of the Notes, together with cash on hand, to redeem $1,225 million in aggregate principal amount of its outstanding 6.750% Senior Notes due 2025 and pay related prepayment premiums and transaction fees and expenses.

The Notes are being sold in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to non-U.S. persons outside the United States under Regulation S under the Securities Act.
