Lithia Announces Upsizing and Pricing of Senior Notes Offering

Lithia Motors, Inc. (NYSE: LAD) today announced the pricing of $550 million in aggregate principal amount of its 4.375% senior notes due 2031 (the "Notes") in a private offering (the "Private Offering"), which represents an increase of $50 million from the offering size previously announced. The Private Offering is expected to close on October 9, 2020, subject to customary closing conditions.

Lithia intends to use the net proceeds of the Private Offering for general corporate purposes, which may include financing possible acquisitions, repaying or refinancing debt, working capital and capital expenditures.

In addition, today Lithia concurrently announced that it has priced its previously announced registered public offering of 3,181,819 shares of its Class A common stock (the “common stock”) (3,659,091 shares if the underwriters in the common stock offering exercise in full their option to purchase additional shares) at a public offering price of $220.00 per share.
