Essential Properties Realty Trust, Inc. Announces Closing of Primary Public Offering of Common Stock and Exercise of Underwriters’ Option to Purchase Additional Shares
Essential Properties Realty Trust, Inc. (NYSE: EPRT; the Company) announced today the closing of an underwritten public offering of 10,120,000 shares of its common stock at a public offering price of $19.00 per share, including 1,320,000 shares purchased by the underwriters pursuant to their exercise, in full, of an option to purchase additional shares.
Essential Properties Realty Trust, Inc. (NYSE: EPRT; the “Company”) announced today the closing of an underwritten public offering of 10,120,000 shares of its common stock at a public offering price of $19.00 per share, including 1,320,000 shares purchased by the underwriters pursuant to their exercise, in full, of an option to purchase additional shares. The Company received net proceeds from the offering (after payment of expected expenses) of approximately $184.1 million and expects to use such net proceeds for general corporate purposes, including potential future investments.
BofA Securities, Barclays, Citigroup, Goldman Sachs & Co. LLC, Mizuho Securities and Stifel acted as the joint book-running managers of the offering. Capital One Securities, Truist Securities, Credit Suisse, Evercore ISI, Ladenburg Thalmann, Raymond James, Scotiabank and Berenberg acted as the co-managers of the offering.
The offering was made only by means of a prospectus supplement and prospectus forming part of an effective shelf registration statement previously filed with the Securities and Exchange Commission (the “SEC”).
