Toughbuilt Announces Pricing of Upsized $9.0 Million Underwritten Public Offering

LAKE FOREST, Calif, Jan. 24, 2020 (GLOBE NEWSWIRE) -- ToughBuilt Industries, Inc. (“ToughBuilt”) (NASDAQ: TBLT; TBLTW), an advanced product design, manufacturer and distributor with emphasis on innovative products, currently focused on tools and other accessories for the professional and do-it-yourself construction industries, today announced the pricing of an underwritten public offering of 43,000,000 shares of its common stock (or pre-funded warrants to purchase common stock in lieu thereof) and warrants to purchase up to 21,500,000 shares of the Company’s common stock. Each share of common stock or pre-funded warrant is being sold together with a warrant to purchase 0.5 shares of common stock. The combined purchase price for one share of common stock and warrant to purchase 0.5 shares of common stock will be $0.21. Gross proceeds, before underwriting discounts and commissions and estimated offering expenses, are expected to be approximately $9.0 million.

The warrants will be immediately exercisable at a price of $0.21 per share of common stock and will expire five years from the date of issuance. In addition, beginning on the earlier of (i) thirty (30) days following the effective date of the registration statement and (ii) the trading day on which the aggregate trading volume of the common stock since the effective date is equal to more than three times (3x) the number of shares of common stock sold in this offering, the warrant may also be exercised, in whole or in part, by means of a “cashless exercise”. The shares of common stock and the accompanying warrants can only be purchased together in the offering, but will be issued separately and will be immediately separable upon issuance. The offering is expected to close on or about January 28, 2020, subject to customary closing conditions.

Maxim Group LLC and Joseph Gunnar & Co. are acting as joint-bookrunning managers in connection with the offering.

Toughbuilt also has granted to the underwriters a 45-day option to purchase up to an additional 6,450,000 shares of common stock and, or Pre-funded warrants in lieu thereof, and/or warrants to purchase up to 3,225,000 shares of common stock at the public offering price, less discounts and commissions.
