Resources Limited (TSX-V AIS, OTCQB: AISSF) (the Company or AIS) is pleased to announce that it has completed the sale of 2,322,250 units ("Units") at $0.08 per unit for gross proceeds of $185,780, (the "Private Placement").
VANCOUVER, British Columbia, Sept. 19, 2019 (GLOBE NEWSWIRE) -- A.I.S. Resources Limited (TSX-V – AIS, OTCQB: AISSF) (the “Company” or “AIS”) is pleased to announce that it has completed the sale of 2,322,250 units ("Units") at $0.08 per unit for gross proceeds of $185,780, (the "Private Placement"). The proceeds will be used for general working capital purposes.
Each Unit consists of one common share and one transferrable share purchase warrant. Each warrant will entitle the holder thereof to purchase one additional common share for a period of 12 months from the closing date of the offering at a price of $0.12 per common share provided that if the closing price of the common shares of the Company on any stock exchange or quotation system on which the common shares are then listed or quoted is equal to or greater than $0.15 for a period of fifteen (15) consecutive trading days, the Company will have the right to accelerate the expiry of the warrants to a date that is not less than ten (10) business days from the date notice is given. The Company will pay no finders fees in relation to the Private Placement. The Common Shares issued pursuant to the Private Placement and the exercise of the warrants will be subject to a hold period of four months and one day from the closing date of the Private Placement, in accordance with applicable Canadian securities laws. Closing is subject to final acceptance by the TSX Venture Exchange.
