(NYSE: XPRO) (the “Company” or “Expro”) announced today the pricing of an underwritten offering of 8,000,000 shares of its common stock currently owned by certain funds and accounts affiliated with Oak Hill Advisors (OHA) (the “Selling Shareholders”) at a price of $16.50 per share (before underwriting discounts and commissions). The offering was upsized from the previously announced offering of 7,250,000 shares of the Company’s common stock. The Selling Shareholders have granted the underwriters a 30-day option to purchase up to 1,200,000 additional shares of the Company’s common stock. Expro is not selling any shares and will not receive any proceeds from the sale of the shares in the offering. The offering is expected to close on January 18, 2023.
