Hub Security Announced the Fulfillment of All Conditions Precedent for the Upcoming $1.28 Billion Merger Transaction

TEL AVIV, Israel, Jan. 12, 2023 /PRNewswire/ -- HUB Cyber Security (Israel) Limited (TASE: HUB), a developer of Confidential Computing cybersecurity solutions and services ("HUB" or the "Company"), announced today the fulfillment (or waiver) of all conditions precedent for the merger with the Nasdaq-listed SPAC Mount Rainier (Nasdaq:RNER).

In accordance with the Company's commitment to TASE publish a report at least ten (10) trading days prior to the date of the delisting from the Tel-Aviv Stock Exchange, the Company hereby reports that all the preconditions have been met (or otherwise have been waived by the parties), so that the completion of the merger transaction is, in fact, subject only to the absence of a legal impediment and that there are more than ten trading days left on the TASE,  prior to the date of delisting, and the beginning of trading on Nasdaq.
