today the results of the votes cast at the Fund’s annual meeting of
shareholders held February 22, 2019.

Daniel Cronin and Paolo M. Cucchi were elected as Class I Directors of
the Fund by owners of its common stock and preferred stock to hold
office until the annual meeting of shareholders in the year 2022 or
until their respective successors are duly elected and qualified or
until they resign or are otherwise removed.

Carol L. Colman was elected as a Class I Director of the Fund by owners
of its preferred stock to hold office until the annual meeting of
shareholders in the year 2022 or until her successor is duly elected and
qualified or until she resigns or is otherwise removed.

Nisha Kumar was elected as a Class II Director of the Fund by owners of
its common stock and preferred stock to hold office until the annual
