Notice to the Holders: 800,000,000 EUR 0.60% Convertible Bonds due 2026 issued by Deutsche Wohnen SE (the "Issuer") ISIN DE000A2GS377, Common Code 169245878, German Securities Code (WKN) A2GS37 (the "Bonds")

 

Terms not otherwise defined in this notice shall have the meaning given to them in the terms and conditions of the Bonds (the "Terms and Conditions").

 

Berlin, 25. October 2021. As result of less than 20% of the aggregate Principal Amount issues remains outstanding Deutsche Wohnen SE hereby announces that it will exercise its right of Early Redemption in relation to the 0.60% EUR 800 million convertible bonds due 2026 (ISIN DE000A2GS377), issued in October 2017, pursuant to § 6 (2) of the Terms and Conditions of the Bonds. The termination becomes effective on 6 December 2021 which will be the Call Redemption Date as defined in the Terms and Conditions of the Bonds.

As a reminder, the Conversion Right pursuant to § 7 (1) of the Terms and Conditions terminates on 19 November 2021. To the extent that the holders of the convertible bonds do not exercise their conversion right on or before 19 November 2021, the convertible bonds will be redeemed on 6 December 2021 (Call Redemption Date) at their Principal Amount plus accrued interest to the day immediately preceding the Call Redemption Date.
