- The agreement sets out the legally binding terms and conditions for the merger of Vitesco Technologies Group AG (“Vitesco”) into Schaeffler AG (“Schaeffler”).
- Thus, Vitesco shareholders will receive 11.4 Schaeffler shares in exchange for one Vitesco share.
- Klaus Rosenfeld, CEO of Schaeffler AG, said: “The signing of the merger agreement marks another important milestone in the implementation of the transaction.

Herzogenaurach, Germany | March 22, 2024 | Yesterday, Schaeffler AG successfully placed a corporate bond with a volume of 850 million euros with international investors. - The issuance comprises a euro bond in the amount of 850 million euros with an interest rate of 4.50 percent p.a.
- The bond placement was carried out under Schaeffler’s current debt issuance program and will be used to refinance the acquisition of the shares in Vitesco Technologies Group AG and to further optimize the financing structure of Schaeffler AG.
- Claus Bauer, Chief Financial Officer of Schaeffler AG, said: “With the most recent bond issuance, we have succeeded in optimizing the financing structure of Schaeffler AG even further.

- Matthias Zink began his working life in 1994 as a test engineer with the LuK Group, which became wholly owned by Schaeffler in 2000.
- In the years that followed, he held various leadership positions in the Automotive Technologies division, among others in China.
- Matthias Zink holds a degree in mechanical engineering with a major in automotive engineering from the University of Karlsruhe.

Herzogenaurach, Germany / Fort Mill, S.C., USA | February 26, 2024 | Global motion technology company Schaeffler announces the expansion of its operations in the U.S. with the addition of a new manufacturing facility focused on producing automotive electric mobility solutions. - Schaeffler is investing over USD 230 million in building the new greenfield manufacturing facility, strategically located in Dover, Ohio, as well as future expansions in the state until 2032.
- These jobs will lead to growth at the company’s current facility in Wooster, Ohio, and the new manufacturing facility in Dover.
- The new manufacturing facility location is in the proximity of Schaeffler’s customers, major automotive OEMs, strategic suppliers, rail, access to highways and to the company’s Wooster facility, which specializes in the manufacturing of transmission systems and serves as an innovation hub for automotive electric mobility.
